Clay Karwisch guides clients through all aspects of commercial real estate transactions, whether the acquisition of land for development, negotiation of debt financing documents or the leasing of a newly acquired building.

Clay also assists clients who are raising equity capital for investment in real estate with the structuring and formation of private investment funds.

Prior to joining Holland & Hart, Clay was an associate in the Atlanta office of King & Spalding.


Clay has experience representing owners of all types of real estate assets, including multifamily, office, retail, medical, industrial and hospitality. He has guided clients through all types of transactions, including:

  •  Acquisitions and dispositions

  •  Debt financing
  •  Leasing

Clay also advises clients in the structuring and formation of funds for investment in real estate:

  •  Reviewing offering documents and marketing materials
  •  Drafting partnership agreements
  •  Negotiating side letter agreements with investors

Clay’s transactional practice also includes the representation of clients in general corporate matters:

  •  Mergers and acquisitions
  •  Joint ventures

  • Represented a publicly traded company in the disposition of a portfolio of manufacturing facilities.

  • Represented sponsors in the formation of a broad range of real estate investment funds focused on a variety of assets classes, including multifamily, student housing and industrial. 

  • Represented an institutional investor in the leasing of its office and retail portfolio in the United States.

  • Represented institutional investors in over $300 million of investments in private equity funds and hedge funds.

  • Represented owner of an industrial printing business in the $18 million sale of the business.

  • Represented energy project developer in an $85 million equity financing.
