David Garcia has extensive experience counseling clients in debt and equity financing transactions, mergers and acquisitions, and other corporate matters.

He works with companies ranging from small start-up and privately held businesses to publicly-traded corporations on structural, governance, capitalization, and contract matters, as well as an array of venture capital, angel and private equity investors in various types of investments, acquisitions and dispositions. 

David’s calm, pragmatic approach allows him to provide clients with practical advice and conclude transactions quickly and efficiently. His broad experience allows him to give advice and negotiate deals from a perspective of likely outcomes rather than theoretical risk, never losing focus on putting his clients in a position to succeed.

Prior to Holland & Hart, David practiced with Wilson Sonsini and Venture Law Group in Silicon Valley, and with Hale Lane in Reno.

  • A bakery products company in connections with an equity investment by a leading investor in branded consumer product companies.

Gaming Industry Transactions
  • Marnell Gaming, a Nevada-based operator, in the acquisition of the Nugget Casino Resort, a casino-resort property in Sparks, Nevada, consisting of 1,400 guest rooms, a 75,000-square-foot casino, 110,000 square feet of meeting space, eight restaurants, an indoor atrium pool, entertainment venues, and more.

  • Global Leveraged Capital in the acquisition of VKGS LLC, dba Video King,® and its affiliated entities. 

  • Represented Truckee Gaming in its Acquisition of Three Northern Nevada Casinos.

Technology Industry Transactions
  • AirWire in its preferred stock financing transaction, which included both new funds as well as the conversion of outstanding indebtedness.

  • Sierra Nevada Corporation in its acquisition of a UK-and Germany-based aircraft company, 328 Support Services.

  • Sierra Nevada Corporation in its acquisition of Kutta Technologies, Inc.

  • RagingWire Data Centers, f/k/a/ RagingWire Enterprise Solutions, Inc., in its $350 million acquisition by NTT Communications Corporation.
