Holland & Hart served as lead transactional counsel for Mountain Parks Electric, Inc. (MPE), a Colorado-based not-for-profit, member-owned electric utility cooperative, in connection with its withdrawal from Tri-State Generation & Transmission Association, Inc. (Tri-State), effective Feb. 1, 2025. The transaction included the negotiation of a Power Sales Agreement with Guzman Energy, a Purchase and Sale Agreement with Tri-State, an O&M Agreement and Facilities Use Agreement, as well as various ancillary documents. MPE provided the required two-year unconditional notice to Tri-State in January 2023. Power services from Guzman Energy commenced on Feb. 1, 2025.
